Maybe the organizer raises more than was needed, <a href=\"https:\/\/carleton.ca\/panl\/story\/how-15-million-humboldt-crowdfunder-that-turned-nasty-got-quickly-resolved\/\" target=\"_blank\" rel=\"noopener noreferrer\">as occurred in the Humboldt Broncos campaign<\/a>, or maybe the organizer wants to change donation recipients, <a href=\"https:\/\/carleton.ca\/panl\/story\/the-spectacular-tale-of-a-crowdfunder-gone-wrong-lessons-for-canada-from-australia\/\" target=\"_blank\" rel=\"noopener noreferrer\">as Celeste Barber did with her Australian bushfire appeal<\/a>. Current laws and rules make it difficult to adapt campaigns to changing circumstances \u2013 and chaos can follow.<\/p>\n<p>Nonprofit leaders and fundraisers have likely never heard of the <a href=\"https:\/\/www.ulcc.ca\/en\/home-en-gb-1\" target=\"_blank\" rel=\"noopener noreferrer\">Uniform Law Conference of Canada<\/a> (ULCC), but it\u2019s time to pay attention to this national organization if you\u2019re involved in crowdfunding. ULCC was founded in 1918 to harmonize the laws of Canadian provinces and territories, and it develops model legislation that can be used to modernize laws.<\/p>\n<p>The ULCC addressed fundraising issues beginning in 2005 with the <a href=\"https:\/\/www.ulcc.ca\/en\/home-en-gb-1\/90-josetta-1-en-gb\/uniform-actsa\/charitable-fundraising-act\/1084-charitable-fundraising-act\" target=\"_blank\" rel=\"noopener noreferrer\">Uniform Charitable Fundraising Act<\/a>. This statute was limited in scope, as it didn\u2019t cover activities by non-charities, and was never adopted by provinces. The next step was a draft Uniform Informal Public Appeals Act (UIPAA) in 2011. Only Saskatchewan adopted it, which later helped to resolve the <a href=\"https:\/\/www.canlii.org\/en\/sk\/skqb\/doc\/2018\/2018skqb341\/2018skqb341.html?resultIndex=1\" target=\"_blank\" rel=\"noopener noreferrer\">divisive legal issues in the Humboldt Broncos Memorial Fund Inc<\/a>.<\/p>\n<p><img decoding=\"async\" loading=\"lazy\" class=\"wp-image-1993 alignnone\" src=\"https:\/\/carleton.ca\/panl\/wp-content\/uploads\/ULCCLogo-300x39.png\" alt=\"\" width=\"600\" height=\"78\" srcset=\"https:\/\/carleton.ca\/panl\/wp-content\/uploads\/ULCCLogo-300x39.png 300w, https:\/\/carleton.ca\/panl\/wp-content\/uploads\/ULCCLogo-400x52.png 400w, https:\/\/carleton.ca\/panl\/wp-content\/uploads\/ULCCLogo-768x101.png 768w, https:\/\/carleton.ca\/panl\/wp-content\/uploads\/ULCCLogo-700x92.png 700w, https:\/\/carleton.ca\/panl\/wp-content\/uploads\/ULCCLogo.png 1304w\" sizes=\"(max-width: 600px) 100vw, 600px\" \/><\/p>\n<p>With the rapid evolution of online crowdfunding, the ULCC model statute was updated in 2020 and its name changed to the <a href=\"http:\/\/unilaw.ca\/data\/documents\/Uniform-Benevolent-and-Community-Crowdfunding-Act-2020.pdf.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">Uniform Benevolent and Community Crowdfunding Act<\/a>. The UBCCA focuses on crowdfunding, such as a GoFundMe campaign, but doesn\u2019t cover fundraising by registered charities and other \u2018qualified donees\u2019 (as defined in the Income Tax Act) and doesn\u2019t cover campaigns related to partisan politics, investments or those that reward the organizer over other beneficiaries.<\/p>\n<p>To understand how the UBCCA works, we need to appreciate the legal concept of a \u201ctrust\u201d\u2013 and the obligations a trust creates. A trust is a mechanism for one person (in this case, a donor) to transfer assets to another person (the &#8220;trustee,&#8221; here the organizer of an appeal) with the intent of benefiting other people. Normally, trusts are formalized through some kind of documentation that specifies the obligations of the trustee. The challenge with crowdfunding campaigns is that they usually have little or no formal documentation that specifies how the organizer should deal with donors or how to steward and disburse the funds. A lot of problems arise.<\/p>\n<p><img decoding=\"async\" loading=\"lazy\" class=\"wp-image-1999 alignright\" src=\"https:\/\/carleton.ca\/panl\/wp-content\/uploads\/UBCCA-300x121.png\" alt=\"\" width=\"523\" height=\"211\" srcset=\"https:\/\/carleton.ca\/panl\/wp-content\/uploads\/UBCCA-300x121.png 300w, https:\/\/carleton.ca\/panl\/wp-content\/uploads\/UBCCA-400x161.png 400w, https:\/\/carleton.ca\/panl\/wp-content\/uploads\/UBCCA-768x309.png 768w, https:\/\/carleton.ca\/panl\/wp-content\/uploads\/UBCCA-700x281.png 700w, https:\/\/carleton.ca\/panl\/wp-content\/uploads\/UBCCA.png 1299w\" sizes=\"(max-width: 523px) 100vw, 523px\" \/>The UBCCA clarifies that a crowdfunding appeal establishes a trust relationship and it creates trustees, those who direct the appeal<em>. <\/em>It requires them to maintain a segregated bank account for funds, and varies the lifespan of crowdfunding trusts from the common law. It also enables actions that existing law makes very difficult. Within limits, it allows changes in the middle of a campaign, for instance, to modify the original purpose or to name different organizations or groups as beneficiaries. And it also gives courts new powers to oversee fund administration and sets out ways for dealing with surpluses. Importantly, if an appeal isn\u2019t being properly administered, the UBCCA allows those affected, including donors, to go to court to enforce the trust.<\/p>\n<p>What does all this mean for crowdfunding organizers? It means they need to familiarize themselves with new rules and fulfil legal obligations if a province or territory adopts the UBBCA.
